Terms of Service

1. About Layo and these terms

Layo is an AI influencer studio operated by Manafold Inc., 200 Kent Ave, Suite 401, Brooklyn, NY 11249 ("Layo," "we," or "us"). These Terms of Service govern your use of layo.co and the Layo application. You can contact us at support@layo.co.

By using Layo, you agree to these terms. If you use Layo for an organization or client, you must be authorized to do so and to provide the content you submit. Our Privacy Policy explains how we handle personal information.

2. Eligibility and your account

You must be at least 18 years old and legally able to enter into this agreement. Provide accurate account information, protect your email account and sign-in credentials, and promptly report suspected unauthorized access. You are responsible for the activity you authorize through your account.

Workspace access is controlled by membership and permissions. Only invite or share content with people who are authorized to access it. Losing access to a workspace may also end your access to its content; it does not necessarily delete content shared with other members.

3. Using the service

Subject to these terms, you may use Layo's available features to create and manage characters and media for your own purposes or for an organization or client you represent. We retain our rights in Layo's software, designs, branding, and other service materials. Permission to use Layo does not transfer ownership of those materials or authorize you to resell access to the service.

Layo is an early-access service. Features, available models, processing limits, and availability may change. Generation can fail, be delayed, or produce an unsuitable result. Keep independent copies of work you need to retain.

4. Your inputs and generated outputs

"Inputs" means the descriptions, instructions, photos, clips, and other material you submit. "Outputs" means the images, videos, and other results generated for you. You retain the rights you already have in your Inputs. Layo does not claim ownership of your Inputs or Outputs.

As between you and Layo, you may use, edit, publish, and share your Outputs, including for commercial projects, subject to these terms, applicable law, third-party rights, and any model-specific restrictions disclosed for the feature. You may give clients the rights you actually hold. Ending your account does not by itself cancel your rights in Outputs you have already downloaded.

AI generation does not guarantee copyright protection, exclusive ownership, originality, accuracy, or clearance of another person's rights. Different users may receive similar results. Review Outputs before using them, and obtain any permissions needed for your intended use.

5. Permission to process your content

You grant Manafold Inc. a nonexclusive, worldwide, royalty-free permission to host, copy, process, adapt, and display your Inputs and Outputs as needed to perform your requests, deliver and secure Layo, investigate misuse, and provide support. This includes sending the necessary material to service providers, generating variations and video transformations, and making content available to collaborators you authorize. Providers may exercise these permissions only as needed for the applicable service arrangements.

This permission lasts while we need the content for these purposes, subject to the retention and deletion provisions in our Privacy Policy. Deletion may not remove copies already downloaded by you or others, shared workspace material that others remain entitled to use, or records retained for legal or security reasons.

Manafold Inc. does not use your Inputs or Outputs to train its own AI models. Our Privacy Policy explains third-party AI processing. We will obtain your permission before using your private content in our own advertising or promotional examples. These terms do not grant a general right to sell your content.

6. Real people, likeness, and permissions

Only submit content you have the necessary rights to use and to have processed through Layo. For media depicting a real person, obtain the permissions and releases needed to use their likeness, voice, and other identifiable attributes in the requested transformation. When you submit a reference photo, you must confirm that it depicts you or that you have the person's permission.

Do not use Layo to falsely portray a person's endorsement, identity, statements, or actions in a deceptive or harmful way. Do not use it to identify or authenticate people or to infer sensitive traits about an identifiable person. Where required by law or the platform where you publish, disclose that content was generated or altered using AI.

Do not include passwords, financial account details, government identifiers, health records, or other unnecessary sensitive information in prompts or uploads.

7. Prohibited uses

You may not use Layo to create, upload, or distribute:

• Sexual or intimate imagery of real people, including nonconsensual or AI-manipulated intimate imagery.
• Content that sexualizes, exploits, or endangers minors, including synthetic depictions.
• Content used for fraud, threats, harassment, unlawful impersonation, or deceptive political activity.
• Content that infringes intellectual property, privacy, publicity, or other rights, or otherwise violates applicable law.

Do not bypass safety filters or usage controls, access another user's private information, distribute malware, disrupt the service, or obtain unauthorized access to Layo or its providers.

8. Safety, reporting, and removal

Layo and its providers may use automated checks and human review to investigate misuse, reject requests, remove content, or restrict accounts. Safety measures do not guarantee that every harmful request or result will be detected.

Report prohibited content, unauthorized use of your likeness, or intellectual property concerns to support@layo.co. Identify the content or its location, explain the concern, and provide a way for us to contact you. A person authorized to act for an affected individual or rights holder may submit a report. We will assess reports, take appropriate action, and comply with applicable removal deadlines and reporting obligations.

9. Providers and third-party services

Layo uses third-party services for authentication, storage, and AI generation. Processing your request may require sending your Inputs to an AI provider and its model partners, as described in our Privacy Policy. Provider availability and model behavior can affect results. Any separate service you choose to visit or use is subject to its own terms and privacy practices.

10. Prices and paid features

These terms do not by themselves create a subscription or authorize a payment. If we offer a paid feature, we will disclose the price, what is included, and applicable billing, renewal, cancellation, and refund conditions before you purchase. Any additional terms presented for that purchase apply to it. Mandatory consumer rights remain available.

11. Suspension, termination, and deletion

You may stop using Layo at any time and request deletion through support@layo.co. We may limit or suspend access when reasonably necessary to address a violation, security risk, legal obligation, or harm to others. Where practical and lawful, we will explain the reason and allow you to respond. You may contact support to ask us to reconsider a restriction.

Closing an account and deleting personal information are handled under the Privacy Policy. Provisions that need to continue after your use ends, including existing content rights, permitted retention, and responsibility for earlier activity, continue to apply to that extent.

12. Disclaimers and responsibility

To the extent permitted by law, Layo is provided as available, without a promise that it will be uninterrupted, error-free, or suitable for a particular purpose. You are responsible for reviewing Outputs and deciding whether and how to use them. Nothing in these terms excludes mandatory consumer protections, remedies, or responsibility that cannot lawfully be excluded.

13. Updates and contact

We may update these terms as the service changes. We will identify the effective date and provide notice of material changes through the service or another reasonable channel before they take effect, except where an immediate change is needed for legal or security reasons. Where required, we will ask you to accept updated terms. If you do not agree, stop using Layo and contact us about closing your account.
